Part A — Vendor Terms
1. Who these terms apply to
These terms apply to any business that registers through our Vendor registration page or supplies goods or services to INDO CHATS PRIVATE LIMITED (CIN U62012WR2026PTC295588), Howrah, West Bengal, for the Sukon app (“Sukon”, “we”, “us”). If a signed contract or purchase order says something different, the contract or purchase order prevails.
2. Registration is not a contract
Registering does not create a contract or guarantee any order, volume or payment. A binding arrangement exists only when we issue a written purchase order or both parties sign a contract.
3. Accurate information and verification
You confirm that the information you give us is true and complete, and you will tell us promptly if it changes. We may verify your business, including your registration, PAN, GST registration, trade or professional licences and references. Where your goods or services are regulated, you must hold and maintain the required licences — for example FSSAI registration for food, and compliance with the Prevention of Cruelty to Animals Act, 1960 and applicable state laws for livestock.
4. Orders, delivery and quality
You will supply goods and services as described in the purchase order, on time, to the agreed quality, and in line with halal requirements where these are stated. Goods must be accurately described, safe and fit for purpose.
5. Pricing, invoices and tax
Prices are as agreed in writing. Invoices must be valid tax invoices under the Central Goods and Services Tax Act, 2017 where GST applies, and must quote our purchase order number. Each party is responsible for its own taxes.
6. Payment
We pay correct, undisputed invoices within the period stated in the purchase order. For suppliers registered as micro or small enterprises under the Micro, Small and Medium Enterprises Development Act, 2006, we follow the payment timelines set by that Act. Please tell us your Udyam registration number when you register.
7. Confidentiality
You will keep confidential any non-public information about Sukon, our users and our partners, and use it only to perform your work for us.
8. Personal data
If you handle personal data for us, you will process it only on our written instructions, keep it secure, use it for no other purpose, tell us without delay about any breach, and return or delete it when the work ends, in line with the Digital Personal Data Protection Act, 2023 and any data processing terms we agree with you.
9. Intellectual property and brand
You may not use the Sukon or Indo Chats name, logo or trademarks, or describe yourself as a Sukon partner, without our written permission. Work created specifically for us belongs to us once paid for, unless agreed otherwise in writing.
10. Anti-bribery
You must not offer or accept any bribe, kickback or improper payment in connection with Sukon, and must comply with the Prevention of Corruption Act, 1988 and other applicable laws. Gifts or hospitality to our staff beyond token value are not permitted.
11. Removal and termination
We may remove a vendor from our list, or end an arrangement as allowed by the relevant contract, if information proves untrue, quality or delivery falls short, or these terms or the Supplier Code of Conduct are breached.
12. Liability
You are responsible for loss caused by your breach of these terms or your negligence, to the extent allowed by law. Nothing in these terms limits liability that cannot be limited under Indian law.
13. Governing law
These terms are governed by the laws of India. The courts at Kolkata, West Bengal have jurisdiction, unless a contract between us says otherwise.
